TUC RAIL is a public limited company under private law.

TUC RAIL complies with the Belgian governance recommendations for unlisted companies, as set out in the latest version of the Buysse Code.

Shareholders & Board of Directors

Infrabel SADP, public limited company under public law, is the sole shareholder of TUC RAIL, holding 100% of the shares.

The shareholder of TUC RAIL appoint the members of the Board of Directors of TUC RAIL.

The Board of Directors plays a decisive role in the development of strategy, the supervision and control of the rules and structures and the daily operational and financial management of TUC RAIL.

The Board of Directors consists of 6 directors, including one external director. The Board has a balanced configuration to ensure authority, expertise and independence.

The Board of Directors is assisted by various advisory committees created within the board: the Audit Committee and the Remuneration and Appointment Committee.

The Board of Directors appoints the Chief Executive Officer (CEO) who is assisted by the Chief Operating Officer (COO), together forming the Senior Management.
